TAKE-PRIVATE | GAMING

$80M Take-Private

TSX-Listed Liquidity Event

Situation

A TSX-listed gaming company with significant embedded real estate value was trading at a discount to NAV, leaving shareholders without a clear path to liquidity.

Approach

Structured a management-led take-private that leveraged the company's real estate holdings to protect downside while engineering a premium liquidity event for public shareholders.

Result

Closed an $80M transaction delivering full liquidity to shareholders at a premium to the pre-announcement trading price.

SELL-SIDE | CONSUMER ELECTRONICS

$62M Sell-Side

Premium Brand Valuation

Situation

A consumer electronics company with 10 registered U.S. trademarks and a global supply chain sought a full exit at a valuation reflecting its brand equity and IP portfolio.

Approach

Ran a structured auction targeting both strategic acquirers and PE-backed platforms, positioning the company's intellectual property and distribution network as the primary value drivers.

Result

Closed at $62M, achieving a premium multiple reflecting the full value of the brand's IP and market position.

MULTI-PHASE EXIT | HEALTHCARE

$32M Multi-Phase Exit

Partial Liquidity + Growth Capital

Situation

A healthcare services company operating across 10 states needed a phased exit that provided immediate founder liquidity while preserving the platform for continued geographic expansion.

Approach

Designed a two-phase transaction: a $12M partial liquidity event for immediate founder needs, followed by a $20M growth capital raise to fund the platform's expansion.

Result

Delivered $32M in total transaction value across both phases, with the founder retaining meaningful equity upside in the growth phase.

STRATEGIC ADVISORY | TECHNOLOGY

$7M Strategic Pivot

MBO to High-Growth Startup

Situation

A technology company's management team identified a pivot opportunity into a high-growth vertical but needed to acquire the existing business and fund the transformation.

Approach

Structured and financed a management buyout, then provided strategic advisory through the pivot including capital allocation and go-to-market strategy for the new vertical.

Result

Completed the $7M MBO and guided the company to $4M ARR within six months of the pivot.
